TERMS AND CONDITIONS
1. This order constitutes a contract for merchandise printed
expressly for the Purchaser, and is not subject to countermand, except by mutual
agreement with Company in which event Purchaser agrees to reimburse Company
for any expense incurred on the Quote/Order form in the interim. Returns
and refunds are not permitted due to nature of product.
2. Any verbal agreement with Bea Alsberry and Associates, Inc., whether material
or not; shall be considered as waived and without effect on this contract.
3. Due to imprinting, Company reserves the right to make over-run or under-run
of as much as 10%, for which Purchaser agrees to pay
or be credited, pro-rata.
4. Performance of this contract by Company is contingent upon strikes, fires, or
any cause beyond control of Company.
5. Purchaser agrees to pay any taxes resulting from this contract direct to
taxing authority, if not charged on invoice.
6. Payments shall be payable by check, money order (not cash) and payable to the
order of Bea Alsberry and Associates, Inc. Post Office Box 541, Lakehurst, New
Jersey 08733
7. Purchaser has read and understands all stipulations herein, acknowledges the
copy desired and price are correct, and agrees to accept shipment of merchandise
and to pay for same, including transportation cost.
8. Purchaser agrees to pay on demand all cost and reasonable attorney fees which
Company may incur in the enforcement of this contract.
9. The person named as representative of Purchaser unconditionally guarantees
payment and performance of this contract.
10. The laws of the State of New Jersey shall govern the validity construction,
interpretation and enforcement of this contract. Venue for any suit or "other"
proceeding arising under this contract shall be in Ocean County New Jersey.
11. Purchaser (jointly and severally, if more than one) hereby agree to purchase
from Bea Alsberry and Associates, Inc. on the preceding terms and conditions the
articles of personal property listed on the Quote/Order form
and or electronic mail message. All merchandise sold
F.O.B. factory, and title passes when delivered to a
common carrier for consignment to the Purchaser.
12. At the discretion of the company, any accounts which are unpaid in excess of
thirty (30) days, will bear a monthly service charge
of one and one-half percent (1 1/2 %) per month (an annual percentage rate of
18%) or maximum allowed by law.
